ELECTRONIC AGREEMENT FOR INTERNET SOFTWARE SERVICES

 SIA "LV Izsoles" (hereinafter referred to as UTRUPE), registration No. 50203588481, with registered address Ausekļa iela 1 – 5, Rīga, LV-1010,

and individual or company who has registered on www.utrupe.lvs website and has activated his or her participants name (hereinafter referred to as the Auction Participant),

both together - The Parties, make an agreement about Internet Auctions (hereinafter referred to as the "Agreement")..

The Auction Participant certifies that he is an individual with legal capacity. A representative of a company shall certify that he is authorized to act on behalf of the company and to take action on the company’s behalf, otherwise he or she shall be deemed to have entered into Agreement on his own behalf as an Auction Participant.

2. The Agreement

2.1. In accordance with this Agreement, an individual or a company becomes a registered user of utrupe.lv and acquires the right to use the services provided by Utrupe on the web site www.utrupe.lv (hereinafter referred to as the Internet Auction) in accordance with the terms of this Agreement.

2.2. Internet Auction is a set of programs hosted on the Internet on the web page www.utrupe.lv, a virtual information environment that provides the Auction Participant with the infrastructure to get to know the range of products (hereinafter - Products), as well as to submit a purchase offer, incl. using the auction principle - the highest bid.

 

3. UTRUPE terms

3.1. UTRUPE maintains an Internet Auction with the address www.utrupe.lv and provides a virtual environment for the receipt of offers, compilation incl. auctions for conducting transactions.

3.2. Unless UTRUPE is individually empowered, UTRUPE does not participate in the legal relationship between Auction Participants who have entered into or are willing to enter into a Goods Purchase Agreement through an Internet Auctions, including as a Party or as an authorized person of the Parties not participating in negotiations, conclusion of a transaction, execution of an online auction.

3.3. UTRUPE, at the invitation of an Auction Participant, participates in solving issues related to the Internet auction without taking responsibility for the outcome of the dispute and the decisions made by the parties.

3.4. UTRUPE is not responsible for the use of inappropriate or illegal Internet Auctions. The Auction Participant is personally responsible for participating in the Internet Auction.

3.5. UTRUPE is not the owner of the Products offered at the Internet Auction and is not responsible for the quality of the goods offered by the Internet Auction, the validity for a particular purpose, the conformity of the validity of information provided by the Seller (the person placing the item on sale) and compliance with the rights of third parties, and other questions related to the Product.

3.6. UTRUPE does not guarantee permanent access to the Internet Auction and use of Internet Auction services if access to the Internet Auction is not possible due to reason not related to UTRUPE.

3.7. UTRUPE has the right to restrict or terminate the Auction Participants access to the Internet Auction, including the withdrawal of a Product offered or a placed bid. if the Auctioning Party does not comply with or violate the terms of this Agreement.

3.8. Utrupe agrees to examine the claims about the Internet Auction, but does not take any responsibility for the quality of the product sold.

3.9. Utrupe is not responsible if the Product Owner refuses to sell the item placed on sale.

 

4. Auctions participants terms

4.1. An Auction Participant has the right to use its services by registering at the Internet Auction.

4.1.2. when buying - to bid, submit a bid for the Products placed on the Internet auction.

4.2. The auction participant agrees:

4.2.1. To use the Internet Auction, abiding the laws and regulations of the Republic of Latvia, in good faith and in accordance with generally accepted purchase deal principles;

4.2.2. When registering for the Internet auction, provide only valid information, as requested;

4.2.3. Before bidding, the Auction Participant confirms that he or she is personally familiar with the condition of the Product, in case of the highest bid, upon request from UTRUPE, agrees to pay the full amount;

4.2.4. The Auction Participant confirms that before taking part in the auctions, he / she will familiarize himself with all expenses related to the registration of the Product in his or her name, incl. all CSDD (National Traffic Department) state fees and other payments, if necessary, to register the Product in your name;

4.2.5. In the case of the highest bid, the item will be offered to the Auction Participant, UTRUPE reserves the right to refuse to sell the item to a third party indicated by the Auction Participant as the buyer;

4.3. Do not infringe copyrights, patent rights, third party rights, trademarks, and other intellectual property rights;

4.4. Auction participant - the buyer, promising the highest price for the product, agrees to buy it.

4.5. The item won in an auction, must be paid for, and taken out from the storage no later than five (5) working days from receipt of the notification, otherwise the Auction Participant must storage-related costs, and in this case UTRUPE has the rights to offer the product to the next highest bidder.

4.6. The auction participant agrees to immediately inform UTRUPE if the Internet Auction services are not available at a given time.

4.7. In the event of any breach of these rules, UTRUPE reserves the right to delete the registration of the Auction Participant.

 4.8. The Auction Participant acknowledges that failure to comply with these rules, including refusal to purchase the auctioned items, constitutes direct damage. In such a case, the Auction Participant undertakes to compensate UTRUPE and third parties for the damages caused by their actions not less than EUR 150.

 

5. Contract duration, amendments, and termination of the Agreement

5.1. This Agreement is concluded electronically between UTRUPE and Auction Participant and comes into force when the Auction Participant has pressed the "Register" button. The contract is for an indefinite period.

5.2. UTRUPE has the right to amend this Agreement by publishing the relevant amendments on the web site www.utrupe.lv. The terms of the Auction Agreement are valid on the day when they are published. The Auction Participant has the right to unilaterally terminate the Contract if he has fulfilled all obligations stated in this Agreement.

5.3. UTRUPE has the right to immediately terminate the Agreement and deny the Auction Participant access to the Internet Auction services without prior notification if the Auction Participant has violated any of the terms of this Agreement.

 5.4. The Auction Participant and UTRUPE have the right to unilaterally terminate the Agreement by notifying the other Party of their intention to terminate the Agreement if the parties have fulfilled all terms of this agreement.

 

6. Other terms

6.1. The Agreement and the resulting legal obligation and purchase transactions, which are done via the Internet auction, are subject to the laws and regulations of the Republic of Latvia.

6.2. Both parties agree that any disputes, or disagreements that might arise after the conclusion of this Agreement, will be negotiated mutually as much as possible. If the disputes that have arisen do not resolve by mutual negotiation, they shall be dealt with in accordance with the legislation of the Republic of Latvia in court.

6.3. All notices under this Agreement are considered as sent if they are sent: UTRUPE - to the e-mail address: info@utrupe.lv; Auction participant - to the e-mail address specified by him/her. Access to this web page is only for registered users. The user agrees to comply with the Personal Data Protection Law and the Copyright Law when using the system. The user is forbidden to use any automated systems or equipment (robots) to access the system without the written consent of UTRUPE. The auction database is informative and has no legal power. UTRUPE takes no responsibility for activities or decisions made based on the services received.
